  1. Definition

    1. Routo Pte Ltd is a company incorporated in Singapore and hereinafter referred to as (ā€œGatherā€, ā€œweā€, ā€œusā€, ā€œourā€ or ā€œCompanyā€).
    2. ā€œUserā€ or ā€œMerchantā€ refers to any end-user who accesses or uses Gather’s platform to acquire delivery Solutions.
    3. ā€œDriverā€ refers to the independent third parties who provide the delivery Solution to Users through Gather’s platform.
    4. ā€œPlatformā€ means the application, software or website which Gather owns, operates, or otherwise makes availableĀ to Users and/or Drivers for the purposes of or in connection with the Solution.
    5. ā€œSolutionā€ refers to the logistics services which are made available to Users.
    6. ā€œTerms and Conditionsā€ means the terms and conditions as set out in this document and such other policies that Gather may publish from time to time on the Platform.
    7. ā€œWait Time Feesā€ refers to the fees imposed on Users for the arrangement of Drivers to wait at the pick-up point or delivery point in the event that the User is late for pickup, or the recipient of the delivery is late for drop-off. AĀ grace period of 10 minutes applies once the driver has reached the pickup/drop-off location. Subsequently, a $2 fee applies for every 10 minutes and/or part thereof of waiting time.
  2. Acceptance of Terms and Conditions

    1. Your use of Gather’s Platform is subject to the Terms and Conditions contained in this document and any other rule and policies that Gather may publish from time to time on the Platform.
    2. Gather may amend any Terms and Conditions from time to time without prior notice. By continuing to use the Solution or the Platform, you agree that the amended Terms and Conditions will apply to you.
  3. Gather’s Liability

    1. Users agree that Gather’s liability in respect of the shipment is strictly limited to its direct loss only. Any other types of loss or damage are excluded (including but not limited to loss of profits, income, interest, future business, or loss of revenue resulting from loss of use).
    2. Gather’s total liability in respect of any shipment shall be limited to its actual cash value or the cost of the delivery order (whichever is the lower). One shipment is defined as a delivery made by the assigned Driver, which may include one or more stops.
    3. Users agree that Gather shall not be liable for loss or damage arising from or in connection with the following list of scenarios (which are non-exhaustive) that might lead to unsuccessful deliveries:
      1. Incorrect delivery address provided by the User;
      2. Intended recipient not available at the point of delivery;
      3. No available contact or all contacts provided are receptive;
      4. Security or access issues in office buildings, condominiums or other locations which employ access security measures and services;
      5. Any consequences of circumstances outside its control, including without limitation any act of God such as weather conditions, natural disasters, traffic obstruction and congestions, any act of governments, strikes and riots, or other events of force majeure.
    4. Users agree that Gather do not deliver to the following locations:
      1. Changi Airport;
      2. Military, SCDF and Police Camps;
      3. Immigration Checkpoints;
      4. PSA Port;
      5. Jurong Port;
      6. Shipyards; and
      7. Bus Stops and Taxi Stands
    5. In the event of a late delivery not due to scenarios as set out in clause 3.c., Gather will waive off the delivery charge if the Driver is more than 30 mins late.
    6. In the event of damaged deliveries not due to scenarios as set out in clause 3.c., Users are to contact Gather via WhatsApp or email [email protected] with the following details of the claim: date and time slot of delivery, order number and reason for the claim. Gather will investigate and reply immediately. If at fault, Gather will compensate the cost of the item(s), up to $50 per delivery. Delivery charges will also be waived.
    7. Users agree that in the event of a cancellation of a delivery when Drivers are already in the process of the delivery, Users shall be charged a 50% cancellation fee based on the total cost of delivery.
    8. Users agree that Gather shall only be liable for loss or damages arising from or in connection with damages to items on a case by case basis by Gather’s discretion.
  4. User’s Obligations

    1. In such scenarios as set out in clause 3.c., Gather recommends Drivers to contact Users directly for immediate next steps and to wait for up to 10 minutes before moving on. Gather is not responsible nor liable for failure of deliveries caused by such circumstances.
    2. In the event of failed deliveries, these are the options available for Users:
      1. If the failed delivery occurs before the last stop of the Driver’s route, arrangements can be made with the Driver to redeliver the item(s) from the failed delivery at the end of the Driver’s route. Additional charges for the redelivery will be imposed. The additional charges will be determined at the discretion of Gather;
      2. If the failed delivery occurs at the last stop of the Driver’s route, arrangements can be made with the Driver to wait for a specified amount of time. In such cases, the Wait Time Fees will be imposed. If the specified waiting time that was agreed upon between the Merchant and the Driver has lapsed, and delivery is still incomplete, clause 4.b.iii. will apply;
      3. Arrangements can be made with the Drivers to send item(s) from a failed delivery back to the Merchant or to a secondary address provided by the Merchant.
    3. In the event of late collection at the User’s collection point, these are the options available for Users:
      1. Arrangements can be made with the Driver to revisit the pick up location at a later time to collect and deliver the item(s). Additional charges for revisiting the pick up location will be imposed. The additional charges will be determined at the discretion of Gather;
      2. Arrangements can be made with the Driver to wait for the item(s) to be ready for collection. In such cases the Wait Time Fees will be imposed.
    4. Users agree that Drivers are not obliged to make address changes when Drivers are in the process of delivering their routes. If any detours were made without Gather’s knowledge as a private agreement between the Driver and the Merchant, additional charges will be imposed. Charges will be determined at the discretion of Gather.
  5. Exceptions to Gather’s Obligations

    1. Gather’s obligations regarding special requests
      1. For special requests within a specific time slot, Gather does not guarantee that Drivers will be assigned but Gather will make every reasonable effort to inform Merchants with sufficient lead time.
    2. Gather’s obligations regarding pre-determined timeslot
      1. Gather will make every reasonable effort to execute Merchant’s delivery request based on the available schedule provided by the Drivers.
